These terms of use and licence terms (“Terms”) together with all documents referred to, govern the relationship between you and Just Pay Limited t/a Event UK (“we”, “us”, “our”, or “Event UK”) under which our general services are provided by us through either our website at eventuk.co.uk or our device application “App” (collectively referred to as our “Event UK Software”). Please read these terms and conditions carefully before using our Event UK Software.
1. Who we are and how to contact us
1.1. Just Pay Limited t/a Event UK is a company incorporated in England and Wales, with our company number 12364222 and our registered office being 12 Northfields Prospect Putney Bridge Road, London, United Kingdom, SW18 1PE.

1.3. By either accessing or downloading and using our Event UK Software, together with any content supplied by you, you confirm that you understand and accept these Terms and that you agree to comply with them. We will only permit you access or the right to download and use our App, if you accept these Terms and agree to follow them.
1.4. Where you download our App from any relevant application service provider such as the Apple store or Google Play, you agree to be bound by their own specific terms on downloading and accessing the App through their sites.
1.5. If you sell or give away the device on which you have downloaded the App, you must first remove the App from the applicable device.
1.6. In the event you register to use our services through the Event UK Software, you will also be asked to agree and accept our Terms and Conditions which relate to our specific services within the Event UK Software.
1.7. If you do not agree to these Terms, you must not use or visit our Event UK Software.
1.8. As long as you are eligible to download our App, you are granted a limited licence to access and use the App solely to enable us to provide our services to you in the App. You must not use the App for any other purpose.
2. We may make changes to these terms
2.1. We may amend these Terms from time to time. We will communicate these changes through the Event UK Software if we make any such changes.
3. We may make changes to the Event UK Software
3.1. We may update and change any parts of the Event UK Software from time to time to reflect changes to our services, products, our customers’ needs and our business priorities.
3.2. We may update our App from time to time for reasons that include fixing bugs or enhancing functionality. We might also change or remove functionality but if we do that, we will ensure that the App still meets the description of it that was provided to you at the time you downloaded the App.
3.3. Updates will either download automatically or you may need to trigger them yourself, depending on your device and its settings.
4. Accessing our Event UK Software
4.1. General access to the Event UK Software is permitted on a temporary basis and we reserve the right to withdraw or amend any access to the services we provide in the Event UK Software.
4.2. We do restrict access to parts of the Event UK Software for our Authorised Users, as opposed to general visitors and these parts are only accessible for those registered to have access. Authorised Users will create a user account which will involve providing contact information to create a user account.
4.3. We do not guarantee that the Event UK Software, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of Event UK Software for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
4.4. You are also responsible for ensuring that all persons who access Event UK Software through your internet connection are aware of these Terms and other applicable terms and conditions, and that they comply with them.
5. You must keep your details safe
5.1. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, upon creation of a user account, you must treat such information as confidential. You should therefore trust people who access your account or App settings. All activities that occur under your user account with us, will be your responsibility.
5.2. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.
5.3. You are responsible for making all arrangements necessary for you to have access to the Event UK Software. You are responsible for ensuring that all persons who access the Event UK Software through your internet connection or related device are aware of these Terms and that they must comply with them at all material times.
6. Apple App Store’s and Google Play’s terms apply
6.1. The ways in which the App may be used may also be controlled by the Apple Store or Google Play’s own rules and policies permitting access to the App. The licence granted by us for you to use and download our App is limited to a non-transferable licence to use our App on a device that utilises the Apple IOS or Android operating systems, in accordance with their usage rules.
7. Intellectual property rights
7.1. We are the owner or the licensee of all intellectual property rights within the Event UK Software, and in the material published on it (including, but not limited to, all copyright, trademarks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind) whether registered or unregistered anywhere in the world. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. This means, for example, that we remain owners of them and are free to use them as we see fit.
7.2. Except as expressly stated herein, these Terms do not grant you any rights to, or in, or other rights or licences in respect of our services. We are the owner or licensee of all intellectual property rights in and to the Event UK Software and all source code, databases, functionality, software, other multimedia content, or other information or material submitted in the Event UK Software and the trademarks published or logos all of which vest in Event UK. All of these works are protected by copyright laws and treaties all around the world. All such rights are reserved.
7.3. You must not use any part of the content in our Event UK Software for commercial purposes without our written consent.
8. Do not rely on information through the Event UK Software
8.1. Insofar as is permitted by law, we make no representation, warranty or guarantee that the Event UK Software will meet your requirements, that it will be compatible with all software or hardware, or that it will be secure.
8.2. Although we make reasonable efforts to update the information in the Event UK Software, we make no representations, warranties or guarantees, whether express or implied, that the content on Event UK Software is accurate, complete or up to date.
9. Termination
9.1. We can terminate your access and use of the Event UK Software at any time and without notice if it is deemed that you have breached these Terms or uploaded any material or done anything to the Event UK Software, that is false, misleading or against the law, or for any other reason we determine is inappropriate.
9.2. If we end your right to use the Event UK Software, you must stop all activities authorised by these Terms, including your use of the App and/or our website. You must delete our App from all devices in your possession and immediately destroy all copies of the App.
10. Limitation of liability
10.1. These provisions only apply to the use of our Event UK Software. Our contractual relationship with you will be governed by our Terms and Conditions as they apply. Our liability is as follows:
10.1.1. We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with your:
10.1.1.1. Use of, or inability to use, the Event UK Software; or
10.1.1.2. Use of or reliance on any content displayed on the Event UK Software.
10.1.2. In particular we will not be liable for:
10.1.2.1. Loss of profits, sales, business, or revenue;
10.1.2.2. Business interruption;
10.1.2.3. Loss of anticipated savings;
10.1.2.4. Loss of business opportunity, goodwill or reputation; or
10.1.2.5. Any indirect or consequential loss or damage.
11. Prohibited activities
11.1. You may only use the Event UK Software for lawful purposes. You must not use the Event UK Software in the following ways:
11.1.1. In any way that breaches any applicable local, national, or international law or regulation;
11.1.2. In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
11.1.3. For the purpose of harming or attempting to harm minors in any way;
11.1.4. To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (including spam);
11.1.5. To knowingly transmit any data, send or upload any material that contains viruses, trojan horses, worms, time-bombs, spyware, adware or any other harmful programs or other similar code designed to adversely affect the operation of the computer software or hardware;
11.1.6. Systematically retrieve data or other content from the Event UK Software to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from us;
11.1.7. Trick, defraud or mislead us and other users, especially in an attempt to learn sensitive account information such as user passwords;
11.1.8. Circumvent, disable, or otherwise interfere with security-related features of the Event UK Software, including features that prevent or restrict the use or copying of the content or enforce limitations on the use of the Event UK Software and any content;
11.1.9. Disparage, tarnish or otherwise harm, in our opinion, us and/or or the Event UK Software;
11.1.10. Make improper use of our support services or submit false reports of misconduct; or
11.1.11. Engage in unauthorised framing or linking to the Event UK Software.
11.2. You also agree:
11.2.1. Not to reproduce, replicate, copy or re-sell any part of the Event UK Software; and
11.2.2. Not to access without authority, interfere with or damage or disrupt any part of the Event UK Software.
12. We are not responsible for viruses and you must not introduce them
12.1. We do not guarantee that the Event UK Software will be secure or free from bugs or viruses and we accept no liability for any loss or damage arising from a virus or other malware that may adversely affect your software, hardware or data that occurs as a result of your use of the Event UK Software (including the downloading of any content) or any other site referred to on the Event UK Software.
12.2. You are responsible for configuring your information technology, computer programmes and platform to access the Event UK Software. You should use your own virus protection software.
13. Rules about linking to our website
13.1. You may link to our home page of our website, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
13.2. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. We reserve the right to withdraw linking permission without notice.
14. Data protection
14.1. To enable us to fulfil our services in the Event UK Software, it may be necessary to collect and use personal data from you.
14.2. Further details on how we may use any such personal data can be found in our Privacy Policy. This Policy is incorporated into these Terms by reference herein.
15. General
15.1. Updates to these Terms: You agree that we may update these Terms from time to time when it is necessary and reasonable to do so.
15.2. Assignment and Transfer: We may freely assign or transfer our rights and obligations under these Terms.
15.3. Severance: Each paragraph of these Terms operates separately. If any court or relevant authority decides that any of them is unlawful or unenforceable, the remaining terms will remain in full force and effect.
15.4. Third Party Rights: These Terms are between you and us. No other person has any rights to enforce any of its terms.
15.5. Events Beyond Our Control: We are not liable to you if we fail to comply with these Terms because of circumstances beyond our reasonable control, including, but not limited to, strikes, lock-outs or other industrial disputes; breakdown of systems or network access; or flood, fire, explosion or accident.
15.6. Governing Law and Jurisdiction: These Terms of use, their subject matter and their formation (and any non-contractual disputes or claims), are governed by English law. You agree that the courts of England and Wales will have exclusive jurisdiction.
